1. Who we are
Venue Vision is a service of [legal entity name] ("Venue Vision", "we", "us"). We provide software for ticketing, check-in and private live streaming. We are not the organizer of any event and we are not a venue, producer, licensor or broadcaster of the events our organizers run.
2. Accounts
You must give accurate information, keep your sign-in details and two-factor codes safe, and tell us quickly if you think someone else has access. The owner of an organization is responsible for what the people they invite do in that organization. You must be an adult who can enter a binding agreement, or act for an organization that can. Venue Vision is not directed to children under 13 and we do not knowingly create accounts for them.
3. Payments and who the merchant is
Card payments are processed by Stripe through Stripe Connect. Each organizer connects its own Stripe account and agrees to Stripe's terms. Ticket sales are made by the organizer to the buyer: the organizer is the seller and the merchant of record for the tickets, taxes and the event itself. Venue Vision acts as a software platform and takes a platform fee through Stripe. We do not hold ticket money as a bank or escrow agent. Stripe decides payout timing, holds and reserves under its own rules, and we may ask Stripe to apply them to protect buyers. [Counsel to confirm how the merchant and platform roles, sales tax and admissions tax should be described.]
4. Fees
Platform fees are as agreed in your plan. Card processing fees and any Stripe fees are charged by Stripe under its own terms. The total price a buyer sees at checkout is the price they pay; the organizer chooses how fees are borne and must not add surprise charges at the end.
5. Refunds, cancellations and chargebacks
- The organizer sets the refund policy for its events and must show it to buyers before they pay. Venue Vision stores the version of the policy shown at checkout.
- If an organizer cancels an event, or a paid stream cannot be delivered, the organizer must refund affected buyers or offer what its policy promised (for example a free replay).
- Refunds are made through the organizer's page in Venue Vision. Platform fees are refunded only as stated in your plan.
- If a buyer disputes a charge (a chargeback), Stripe debits the amount and any dispute fee from the organizer's Stripe balance. If the organizer's balance is not enough, the organizer must repay Venue Vision any amount we are charged for it. Venue Vision provides an evidence export to help the organizer answer the dispute, but the organizer is responsible for responding on time.
- A refunded or cancelled ticket loses access to the stream and the venue.
6. Your content and your rights
You keep ownership of what you upload and stream. You give Venue Vision a limited licence to host, transcode, store, display and deliver that content to your audience, to make a replay if you turn it on, and to keep backups. You promise that you own or have licensed everything in your event and stream, including scripts, music, recordings, images and the performances, and that every performer, speaker and guest has agreed where the law or a contract requires it. Performers under 18 need a parent or guardian's consent.
7. Rights and licences for streams
A licence to perform a show is not the same as a licence to stream it. Streaming a licensed play or musical, or music you do not own, usually needs a separate licence from the licensor and from the music rights organizations. You must complete the rights and licence record for each stream, and it must be true. We may review it, ask for the licence document, and flag or reject it. A stream cannot be scheduled or go live until the record is complete. We enforce the dates, audience limit, territory and replay terms you give us as far as our tools allow, but we do not obtain rights for you and we do not check that a licence is genuine or sufficient. You are responsible for the rights. Replay is off unless you turn it on and your licence allows it.
8. Rules for viewers
A ticket gives personal access for the household or the number of devices shown on it. Do not share links or codes, record, copy or re-broadcast a stream, or try to get around access limits. A new device can end the session on an older device. We may remove access from anyone who breaks these rules, without a refund where the law allows.
9. Copyright complaints
We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act. See the DMCA page for how to send a notice and how counter-notices work. We can take a stream down immediately while a notice is looked at. Organizers who are the subject of repeated valid notices may have their account suspended or ended.
10. Privacy
Our Privacy Policy explains what we collect and why. For the attendee and viewer lists an organizer holds, the organizer decides how the data is used and Venue Vision processes it for them. Organizers must use attendee data only for the event and for lawful communication, and must honour opt-outs.
11. Accessibility
We work toward WCAG 2.1 AA. Organizers are responsible for making their events accessible, including accessible seating and captions where the law or their audience needs them. See the accessibility statement.
12. Suspension and ending
We can disable a stream, pause sales, hold or ask Stripe to hold funds, or suspend an organization if we reasonably think the terms or the Acceptable Use Policy are broken, if we receive a valid takedown notice, or if the law requires it. You can stop using Venue Vision at any time; money owed and refunds due still have to be settled.
13. Liability
The service is provided as is. We do not guarantee that a stream will be uninterrupted or error-free, and live streaming depends on equipment and networks neither of us controls. To the extent the law allows, our total liability to an organizer is limited to the platform fees paid in the 12 months before the claim, and we are not liable for indirect or consequential loss. You will defend and compensate Venue Vision against claims about your events and your content, including rights claims. [Counsel to confirm these limits, the indemnity and the disclaimer wording.] These terms are governed by [governing law and venue].
14. Changes
We may update these terms. When the text changes in a way that matters, each organization's owner is asked to accept the new version before connecting Stripe or creating a new stream.
